Terms of Use
Last updated Oct 15, 2026. This is a plain-English draft written by Swarmnest. It has not yet been reviewed by a lawyer and it is not legal advice. Questions: hello@swarmnest.ai.
These terms are an agreement between you and Swarmnest, which is owned and operated by J S in California, USA ("Swarmnest", "we", "us"). They cover swarmnest.ai, the directory of AI tools, APIs and data sources, the marketplace for digital products, our public API and machine-readable files (such as llms.txt), our newsletter and anything else we offer on the site (together, the "Service"). By using the Service you agree to these terms. If you do not agree, please do not use it.
Some parts of the Service have extra terms, which form part of this agreement: the Acceptable Use Policy, the Product License, the Refund Policy, the API Terms, the Sponsored & Affiliate Disclosure and, for sellers, the Creator Agreement. Our Privacy Policy explains how we handle personal information.
1. The Service today
Swarmnest is a young project. Today the site is a free directory and API with no user accounts, and the marketplace is not yet selling: product pages show planned prices and a waitlist. Sections below about purchases, accounts and third-party sellers apply once those features go live. We may add, change or remove features at any time.
2. Who can use the Service
- You may browse the site and use the public API at any age permitted by the law where you live, but the Service is not directed at children under 13 and we do not knowingly collect their personal information.
- To buy products, create an account or sell, you must be at least 18 (or the age of majority where you live) and able to form a binding contract.
- If you use the Service for a company or other organization, you confirm that you are authorized to accept these terms for it, and "you" includes that organization.
- You may not use the Service if you are barred from doing so under US law or the law where you live, including US sanctions rules.
3. Accounts
If we offer accounts, you agree to give accurate information, keep your login details secure, and tell us promptly at hello@swarmnest.ai if you think someone else has used your account. You are responsible for activity under your account. Do not share accounts or create accounts to get around a suspension. Today, purchases (once open) may be made without an account; your order email then acts as your record.
4. Buying digital products
- What you are buying. Marketplace products are digital downloads, such as prompt packs, workflows, agent skills and starter kits. You buy a license to use them, not ownership of the underlying files or intellectual property. The license is described in the Product License and on each product page.
- Who sells. Products labelled "made by Swarmnest" are sold by us. If we later open the marketplace to outside creators, each product page will show who made it; see section 12.
- Prices and payment. Prices are in US dollars unless shown otherwise. Payments are processed by Stripe; we do not see or store your full card number. Applicable sales tax or VAT may be added at checkout (see Sales Tax Notes). We may change prices at any time, but a change will not affect an order you have already paid for.
- Delivery. After payment you will receive a download link on screen, by email, or both. Download links may expire or be limited in number, so please save your files. If something does not arrive, contact us (see the Refund Policy).
- Errors. If a product is listed at a clearly wrong price or with a clear error in its description, we may cancel the order and refund you in full.
- Refunds. See the Refund Policy. Nothing in these terms limits refund or consumer rights you have under the law where you live.
5. Our intellectual property
The site design, text, our directory descriptions and categories, the Swarmnest name and logo, and the products we make are owned by Swarmnest or its licensors and protected by copyright, trademark and other laws. Except for the rights given in these terms, the Product License and the API Terms, we do not give you any rights in them. Please do not use the Swarmnest name or logo in a way that suggests we endorse you without our written permission.
Names, logos and trademarks of listed tools belong to their owners. We use them only to identify the tools. Their appearance does not mean the owner is affiliated with or endorses Swarmnest.
6. What you send us
When you submit a tool, suggest a correction, send feedback or otherwise send us content, you confirm you have the right to send it, and you let us use, edit, publish and adapt it, without payment, to run and improve the Service. We may rewrite submitted information in our own words and decide whether to list it. Please do not send confidential information.
7. Acceptable use
You must follow the Acceptable Use Policy. In short: use the Service lawfully, do not attack or overload it, do not infringe other people's rights, and do not misuse products you buy or the data we publish.
8. API, llms.txt and automated access
We publish directory data for people and machines, including JSON endpoints, an OpenAPI description and llms.txt. Crawlers, AI agents and search bots are welcome to read the public site, as our robots.txt says. Using that data is covered by the API Terms, which include attribution and fair-use rules. We may rate-limit, block or change automated access to protect the Service. Automated access does not extend to paid product files, checkout or any area that requires a login.
9. The directory: accuracy and third parties
- Directory entries are short summaries written in good faith, in our own words. Tools change often, so details such as features, pricing, authentication and status may be out of date or wrong. Always check the vendor's own site, documentation, pricing and terms before relying on a tool.
- Status information (for example, whether a site responded when we last checked it) is automated and may be wrong or out of date.
- A listing is not an endorsement, a security review, or a recommendation that a tool is suitable, safe or lawful for your use.
- Links take you to third-party sites, tools and APIs we do not control. Your use of them is governed by their own terms and privacy policies, and you use them at your own risk. We are not responsible for their content, availability, security, pricing, data handling or conduct.
- To correct or remove a listing, see Takedown & Corrections.
10. Sponsored content and affiliate links
We may show sponsored listings, sponsored newsletter placements and affiliate links, which earn us money. We label them clearly, as described in our Sponsored & Affiliate Disclosure. Payment never buys a position in the regular directory order or changes our descriptions. A sponsor's product or offer is the sponsor's responsibility.
11. Newsletter and emails
If you join our newsletter or waitlist, we will email you about Swarmnest, such as new tools, products and launches. Every marketing email will include a way to unsubscribe. We may still send you transactional emails, such as receipts and download links, after you unsubscribe.
12. Third-party sellers (future)
We plan to let outside creators sell on Swarmnest later. When that happens, creators will sign the Creator Agreement, the creator will be shown on the product page, and the creator is responsible for their product and its description. Where a creator's product carries its own license, that license will be shown before you buy. We may review, refuse or remove any product.
13. Disclaimers
The Service, the directory, the API data and all products are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Service will be uninterrupted, error-free or secure, or that any product will produce a particular result. AI tools, prompts, workflows and agents can produce wrong, harmful or unexpected output: you are responsible for reviewing output, testing in a safe setting, and for how you use the results, including any costs you incur with third-party AI or cloud providers. This section does not affect the commitments in our Refund Policy or warranties that cannot be excluded by law.
14. Limits on our liability
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, even if we were told they were possible.
- Our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US $100.
Some places do not allow these limits, so they may not fully apply to you. Nothing here limits liability for fraud, for gross negligence or willful misconduct, for death or personal injury caused by negligence, or anything else that cannot be limited by law.
15. Indemnity
If someone brings a claim against us because of your content, your breach of these terms or the policies they include, your misuse of a product or our data, or your violation of law or someone else's rights, you agree to cover our reasonable losses and costs (including reasonable legal fees) from that claim. We will tell you about the claim and may choose to handle the defense ourselves.
16. Suspension and termination
You may stop using the Service at any time. We may suspend or end your access, remove content or listings, or refuse service if you break these terms, if we must for legal reasons, or to protect the Service or other people. If we end your access to a product you paid for without good reason, we will refund you for it. If we end it because you broke the Product License or these terms, your license ends and you must delete the product files. Sections that by their nature should continue (such as intellectual property, disclaimers, liability limits, indemnity and governing law) survive.
17. Governing law and disputes
These terms are governed by the laws of the State of California and applicable US federal law, without regard to conflict-of-law rules. Please contact us first at hello@swarmnest.ai so we can try to resolve any issue informally. If we cannot, disputes will be heard in the state or federal courts located in California, and both sides consent to their jurisdiction; either side may instead use small claims court if the claim qualifies. If you are a consumer living outside the US, you also keep any protection of the mandatory laws of your country and any right to bring proceedings there.
18. Changes to these terms
We may update these terms. We will change the "Last updated" date and, for significant changes, give reasonable notice on the site or by email where we have your address. Changes apply from the date shown and do not apply to purchases made before then. If you keep using the Service after a change, you accept the updated terms.
19. Other terms
These terms and the policies they link to are the whole agreement between you and us about the Service. If a part is found unenforceable, the rest stays in effect. If we do not enforce a right promptly, we have not given it up. You may not transfer your rights under these terms without our consent; we may transfer ours as part of a sale or reorganization of the Service.
